                  A RESOLUTION APPROVING THE PROPOSED BYLAWS OF 
                  THE STADIUM CORPORATION, A COPY OF WHICH IS 
                  ATTACHED HERETO AND MADE A PART HEREOF BY 
                  REFERENCE.
                  
                  
                                                     
                  
                  
       	    	 BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF 
       CHATTANOOGA, TENNESSEE, That there be and is hereby approved the 
       proposed Bylaws of The Stadium Corporation, a copy of which is 
       attached hereto and made a part hereof by reference.
